These Terms of Service ("Terms") govern your access to and use of the websites, communications, consultations, and services (collectively, the "Services") provided by StableWorks. StableWorks services are provided by T3 Venture Labs Limited ("StableWorks," "T3 Venture Labs," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you are acting on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will post the revised Terms on this page with an updated effective date. Your continued use of the Services after any changes become effective constitutes your acceptance of the updated Terms.

Use of the Services

• You agree to use the Services only for lawful purposes and in accordance with these Terms and any additional documentation, service orders, or statements of work (collectively, "Agreements").

• You are responsible for maintaining the confidentiality of any account credentials or access tokens provided to you and for all activities that occur under your account.

• You must not attempt to interfere with or disrupt the integrity or performance of the Services, or access any systems or data without authorization.

• You will provide accurate, current, and complete information when engaging with us and promptly update such information as needed.

Engagements and Deliverables

Project-specific details, including scope, timelines, pricing, and deliverables, may be set forth in separate Agreements executed by the parties. To the extent of any conflict between these Terms and an Agreement, the Agreement will control with respect to the relevant project.

Unless otherwise specified in an Agreement, prototypes, code, models, documentation, or other materials we produce for you are provided on a work-for-hire or license basis as described in the relevant documentation or contract.

Intellectual Property

• StableWorks and its licensors retain all rights, title, and interest in and to the Services, including all underlying technology, methods, and know-how.

• You retain all rights to your existing data, content, and materials. You grant StableWorks a limited, non-exclusive license to use such materials solely as necessary to deliver the Services.

• Unless an Agreement states otherwise, StableWorks retains the right to reuse generalized learnings, templates, and non-confidential know-how developed while working with you.

Confidentiality

Each party may share business, technical, or other confidential information with the other in connection with the Services. The receiving party will use the same degree of care that it uses to protect its own confidential information (and no less than a reasonable degree of care) to safeguard the other party's confidential information and will use it only for the purposes permitted under these Terms or an Agreement. These obligations do not apply to information that is publicly available, rightfully received from a third party, independently developed without reference to the disclosing party's information, or required to be disclosed by law (provided the receiving party gives notice and cooperates in any protective measures).

Feedback

If you provide ideas, suggestions, or feedback about the Services, you grant StableWorks a perpetual, irrevocable, royalty-free license to use and incorporate that feedback without restriction or compensation to you.

Third-Party Services

The Services may reference or integrate with third-party products or services. Any such third-party offerings are governed by their own terms, and StableWorks is not responsible for third-party websites, content, or practices.

Disclaimers

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, StableWorks disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

Limitation of Liability

To the maximum extent permitted by law, StableWorks will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, or business opportunities, whether such liability is asserted in contract, tort, negligence, strict liability, or otherwise, even if we have been advised of the possibility of such damages. Our aggregate liability arising out of or relating to the Services will not exceed the total amounts paid or payable to us under the applicable Agreement during the six (6) months preceding the event giving rise to the claim.

Indemnification

You agree to indemnify, defend, and hold harmless StableWorks and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to your breach of these Terms, misuse of the Services, or violation of applicable law or third- party rights.

Termination

Either party may terminate access to the Services if the other party materially breaches these Terms or an applicable Agreement and fails to cure the breach within a reasonable period after receiving written notice. Upon termination, Sections intended to survive (including confidentiality, intellectual property, limitations of liability, and indemnification) will remain in effect.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the British Virgin Islands, without regard to conflicts-of-law principles. The parties agree to attempt to resolve any dispute through good-faith negotiations. If a dispute cannot be resolved informally, the parties agree to submit to the exclusive jurisdiction and venue of the courts of the British Virgin Islands, unless another forum is specified in an applicable Agreement.

General

• These Terms, together with any applicable Agreements, constitute the entire agreement between you and StableWorks concerning the Services.

• If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be deemed modified to the minimum extent necessary to make it enforceable.

• You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
